These Website Terms of Use (“Terms,” “Terms of Use,” or “Agreement”) govern your access to and use of the website located at cuantico.us and any related subdomains, pages, web applications, and online services operated by Cuantico Inc. (“Cuantico,” “we,” “our,” or “us”) (collectively, the “Site”). These Terms also govern communications with us via phone, email, text, SMS, or otherwise in connection with the Site.
Cuantico is an artificial intelligence automation agency that designs, deploys, and operates AI-powered voice agents, SMS agents, workflow automations, and CRM integrations on behalf of its business clients.
By accessing or using the Site, submitting information through the Site, or communicating with Cuantico, you are entering into a legal agreement to abide by these Terms and you represent that you have read, understood, and agreed to these Terms and our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Site (“you” or “your”). If you do not agree to these Terms, you must not access or use the Site.
Please read these Terms carefully. They include a binding arbitration agreement, a waiver of your right to participate in class actions, and a waiver of jury trial. Section 10 explains how disputes will be resolved and how you may opt out of arbitration.
If you have entered into a separate written agreement with Cuantico for paid services (such as a Master Services Agreement or Order Form), that agreement governs your relationship with Cuantico with respect to those paid services. These Terms govern your use of the Site itself.
1. Eligibility and Use of the Site
A. User Representations
By accessing or using the Site, you represent and warrant that:
- You are at least 18 years of age and have the legal authority to enter into this Agreement
- If you are accessing the Site on behalf of an entity or business, you have the authority to bind that entity to this Agreement
- All information you provide through the Site is true, accurate, current, and complete
- You will not provide speculative, incorrect, misleading, false, or fraudulent information
- You will comply with all applicable local, state, federal, and international laws and regulations in your use of the Site
- You are not located in, under the control of, or a national or resident of any country subject to U.S. economic sanctions or designated as a “terrorist-supporting” country
B. Prohibited Conduct
You agree that you will not:
- Harvest, scrape, sweep, or use any other means to collect information about users of the Site
- Use automated means, including spiders, robots, bots, scripts, crawlers, or similar tools, to access or interact with the Site, except for search engine and accessibility bots operated consistent with our robots.txt file
- Use the Site or any content obtained from the Site to train, develop, or evaluate any artificial intelligence or machine learning model, except as expressly authorized in writing by Cuantico
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any Cuantico software, algorithm, or AI model accessed through the Site
- Resell, assign, sublicense, or otherwise transfer your rights or obligations under these Terms without our prior written authorization
- Modify, publish, transmit, transfer, sell, reproduce, create derivative works from, distribute, perform, link, display, or in any way exploit Site content except as expressly permitted by these Terms
- Use any information obtained from the Site to send unsolicited commercial communications to any person by any means
- Upload, transmit, or introduce to the Site any viruses, malware, Trojan horses, worms, time bombs, or other harmful code
- Attempt to gain unauthorized access to the Site, other users’ accounts, or any servers, systems, or networks connected to the Site
- Interfere with or disrupt the Site, the servers or networks connected to the Site, or any security features of the Site
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the Site for any unlawful, abusive, fraudulent, harassing, defamatory, or harmful purpose
Cuantico reserves the right to deny access to the Site, terminate accounts, and pursue legal remedies for any violation of this Section, as determined by Cuantico in its sole discretion.
C. Changes to the Site and Terms
Cuantico reserves the right to modify, suspend, or discontinue any portion of the Site at any time without notice. We also reserve the right to modify these Terms at any time. We will update the “Last Updated” date at the top of this page when changes are made. Your continued use of the Site following any modifications constitutes your acceptance of the modified Terms. You should check these Terms periodically for changes.
2. Information About Cuantico Services
The Site provides information about Cuantico’s AI automation and CRM implementation services. Any descriptions of services, case studies, pricing ranges, or capabilities shown on the Site are for informational purposes only and do not constitute a binding offer. All engagements are subject to a separately executed Order Form and our Master Services Agreement.
Cuantico is not a law firm, financial institution, medical provider, or other regulated professional service provider. Nothing on the Site constitutes legal, financial, medical, or other professional advice. You should consult appropriate qualified professionals before making decisions based on information obtained from the Site.
The Site may describe or demonstrate AI-powered capabilities, including voice agents, chatbots, and automated messaging systems. Demonstrations, samples, and recordings shown on the Site are illustrative and may not reflect the exact behavior of services delivered to Clients. AI systems can produce errors, inaccuracies, and unexpected outputs; you should not rely on any AI-generated output displayed on the Site as authoritative or error-free.
3. Consent to Telephone Calls, SMS Messages, AI Communications, and Recording
This Section governs communications that Cuantico may send to you directly as a prospect, lead, or inquirer who has submitted information through the Site. Communications sent to you by a Cuantico Client (a business that has engaged Cuantico to operate AI agents on its behalf) are governed by that Client’s own consent terms and privacy policy, not by these Terms.
A. Consent to Contact
By voluntarily providing your telephone number, email address, or other contact information to Cuantico through the Site or in any communication with us, you expressly consent to receive communications from Cuantico, parties acting on behalf of Cuantico, and our authorized third parties, including:
- Telephone calls, including calls made using automatic telephone dialing systems (autodialers)
- Pre-recorded voice messages
- AI-generated voice messages and AI-powered conversational voice agents
- SMS and MMS text messages, including messages sent using automated systems
- AI-generated SMS and MMS messages and AI-powered conversational chat agents
- Email communications, including marketing emails
- Direct messages through other communication channels you have provided
You authorize Cuantico and our authorized third parties to use any telephone numbers (including wireless, landline, and VOIP numbers) and email addresses you have supplied, or that we can reasonably associate with you through lawful means, to contact you about Cuantico’s services, products, events, and related offers. This consent applies even if your telephone number is currently listed on any state, federal, local, or corporate Do Not Call registry.
B. AI Interaction Disclosure
You understand and acknowledge that some or all communications you receive from Cuantico may be generated, delivered, or responded to by artificial intelligence systems, and you consent to interacting with AI-powered voice and text agents as part of these communications. Where required by applicable law, you will be notified at the outset of an interaction that you are communicating with an AI agent.
C. Consent Not Required for Purchase
Consent to receive marketing communications is not a condition of purchasing any Cuantico services or products. You may choose to contact Cuantico directly by calling (855) 624-3824 or emailing info@cuantico.us without providing consent to automated communications.
D. Call and Message Recording
Calls to and from Cuantico, whether handled by a human or by an AI agent, may be recorded, monitored, transcribed, and analyzed for quality assurance, customer service, training, safety, fraud prevention, legal compliance, and service improvement purposes. SMS, chat, and email communications may be logged and retained for the same purposes. By communicating with Cuantico, you consent to such recording, monitoring, transcription, and retention, unless you expressly inform the Cuantico representative at the outset of a voice communication that you do not consent to recording, in which case the communication will not be recorded.
E. Message Frequency and Rates
Message frequency varies based on your interactions with Cuantico. Message and data rates may apply depending on your carrier and plan. Cuantico is not responsible for any charges imposed by your mobile carrier.
F. Opt-Out
You may withdraw your consent to receive communications at any time:
- SMS and MMS: Reply STOP to any marketing text message. You acknowledge you may receive one final confirmation message.
- Email: Click the unsubscribe link in any marketing email, or email privacy@cuantico.us with the subject line “Unsubscribe.”
- Telephone calls: Inform the Cuantico representative or AI agent that you wish to opt out, or email privacy@cuantico.us with the subject line “OPT-OUT” and include your full name, the telephone number(s) for which you are revoking consent, and the email address on file.
Please allow up to thirty (30) days for your opt-out request to be fully processed. Opting out of marketing communications does not affect your receipt of transactional or service-related communications (such as account notifications, billing messages, or responses to specific inquiries you have submitted).
G. Accuracy of Contact Information
You represent and warrant that you are the owner or primary authorized user of any telephone number, email address, or other contact information you provide. You agree to notify Cuantico promptly if any of your contact information changes. You agree to indemnify and hold harmless Cuantico from and against any claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (i) your failure to update your contact information, (ii) your provision of a telephone number or email address that is not your own, or (iii) your violation of any federal, state, or local law, regulation, or ordinance in connection with the contact information you provide.
4. Electronic Communications Consent
You consent to receive electronically all non-telephonic communications, agreements, documents, notices, and disclosures (collectively, “Communications”) that Cuantico provides in connection with your use of the Site, including legal agreements, policies, and disclosures. We may provide these Communications by posting them on the Site, by emailing them to the email address you provide, or by other reasonable electronic means.
You may withdraw your consent to receive Communications electronically by emailing privacy@cuantico.us. If you withdraw your consent, Cuantico may suspend or terminate your use of the Site, as electronic delivery is an essential element of our operations.
This consent satisfies the requirements of the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and any analogous state laws. You agree that your electronic signature, consent, or affirmative action (such as clicking “I agree” or submitting a form) has the same legal effect as a handwritten signature.
5. Intellectual Property Rights
A. Ownership of Site Content
The Site and all content made available through the Site, including text, graphics, logos, icons, images, audio and video clips, data, software, AI prompts and prompt structures, workflows, diagrams, designs, and the selection and arrangement thereof (collectively, “Site Content”), are owned by Cuantico or its licensors and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.
“Cuantico,” the Cuantico logo, and other Cuantico product and service names are trademarks of Cuantico Inc. You may not use these marks without the prior written consent of Cuantico.
B. Limited License
Subject to your compliance with these Terms, Cuantico grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business evaluation purposes. You may print or download individual screens or pages for your personal, non-commercial reference, provided that all copyright, trademark, and other proprietary notices remain intact. All other rights are reserved by Cuantico.
C. Submissions
If you submit any ideas, suggestions, feedback, concepts, comments, questions, or other materials to Cuantico through the Site or by any other means (collectively, “Submissions”), you grant Cuantico a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Submissions in any media, for any purpose, without compensation or attribution to you. You represent and warrant that your Submissions are original to you, do not violate any third-party rights or applicable law, and that you have the authority to grant the license above.
D. Linked Sites
The Site may contain links to websites, applications, or services operated by third parties (“Linked Sites”). Linked Sites are not reviewed, controlled, or endorsed by Cuantico, and Cuantico is not responsible for the content, availability, accuracy, or practices of any Linked Site. Your access to and use of Linked Sites is at your own risk and is governed by the terms and policies of those third parties.
6. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, disclose, and protect information about you. By using the Site, you acknowledge that you have read and understood our Privacy Policy and consent to the practices described therein.
7. Indemnification
You agree to defend, indemnify, and hold harmless Cuantico and its parent, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and service providers (collectively, the “Cuantico Parties”) from and against any and all claims, demands, actions, proceedings, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and costs) arising from or relating to:
- Your access to or use of the Site
- Your breach of any provision of these Terms, including any representation or warranty
- Your violation of any third-party right, including any intellectual property, privacy, or publicity right
- Your violation of any applicable law, rule, or regulation
- Any content or information you submit, post, or transmit through the Site
- Your provision of inaccurate, outdated, or third-party contact information
Cuantico reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
You agree to waive all laws that may limit the efficacy of such releases. If you are a California resident, you specifically waive the provisions of California Civil Code § 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
8. Disclaimer of Warranties
The Site and all Site Content are provided “as is” and “as available” without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, Cuantico and the Cuantico Parties disclaim all warranties, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and any warranties arising from course of dealing, course of performance, or usage of trade.
Without limiting the foregoing, Cuantico does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Cuantico makes no warranties or representations about the accuracy, completeness, reliability, or timeliness of any content on the Site, including any AI-generated content. You acknowledge that AI systems can produce errors, inaccuracies, biases, and unexpected outputs, and you agree not to rely on any AI-generated content from the Site without independent verification.
Nothing on the Site constitutes legal, financial, medical, or other professional advice.
Some jurisdictions do not allow the exclusion of certain warranties. If these laws apply to you, some or all of the above disclaimers may not apply, and you may have additional rights.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Cuantico or any Cuantico Party be liable to you or any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, lost revenue, business interruption, or loss of goodwill, arising from or relating to your access to or use of the Site or these Terms, even if Cuantico has been advised of the possibility of such damages.
Cuantico's total cumulative liability to you for all claims arising from or relating to your use of the Site or these Terms, regardless of the form of action, shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amounts you have paid to Cuantico under these Terms in the twelve (12) months preceding the event giving rise to the liability.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights. The foregoing limitations will apply to the maximum extent permitted by applicable law.
You and Cuantico agree that these limitations of liability are an essential element of the bargain between the parties and that Cuantico would not provide access to the Site without these limitations.
10. Dispute Resolution, Arbitration, and Class Action Waiver
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury hear your claims.
A. Informal Dispute Resolution
Before filing any formal legal action, you agree to first contact Cuantico at privacy@cuantico.us and attempt to resolve the dispute informally. Cuantico and you agree to negotiate in good faith to resolve the dispute for at least sixty (60) days after receipt of the written notice. If the dispute is not resolved within sixty (60) days, either party may proceed to arbitration as provided below.
B. Binding Arbitration
Except for (i) claims relating to intellectual property rights, (ii) claims that qualify for small claims court and are filed on an individual basis, and (iii) requests for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site, or Cuantico's Services (collectively, “Claims”) shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and, where applicable, its Supplementary Procedures for Consumer Related Disputes. The AAA's rules are available at www.adr.org.
The arbitration shall be conducted by a single arbitrator. The arbitration shall take place in Jacksonville, Florida, or by video or teleconference at the election of the party initiating the arbitration. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
C. Class Action Waiver
You and Cuantico agree that each party may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general action. Unless both parties agree otherwise in writing, the arbitrator may not consolidate or join more than one person's or party's claims, and may not preside over any form of consolidated, class, collective, representative, or private attorney general proceeding. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party's individual claims.
D. Waiver of Jury Trial
You and Cuantico knowingly, voluntarily, and intentionally waive any right to a trial by jury in any legal proceeding arising from or relating to these Terms or your use of the Site.
E. Notice of Dispute
A party intending to initiate arbitration must first send a written Notice of Dispute to the other party by certified mail. The Notice to Cuantico shall be sent to: Cuantico Inc., Attn: Office of the Chief Legal Officer — Notice of Dispute, 1601-1 N Main St #3159, SMB #20300, Jacksonville, FL 32206, and by email to info@cuantico.us. The Notice must describe the nature and basis of the claim and the relief sought.
F. Opt-Out of Arbitration
You may opt out of this Dispute Resolution and Arbitration section by sending a written notice of your decision to opt out to Cuantico at privacy@cuantico.us with the subject line “Arbitration Opt-Out” within thirty (30) days of first accessing the Site. Your notice must include your full name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, the arbitration and class action waiver provisions of this Section will not apply to you, but the remainder of these Terms will continue to apply.
G. Governing Law and Judicial Forum
These Terms and any dispute arising from or relating to these Terms shall be governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Subject to the arbitration provisions above, you and Cuantico agree that any judicial proceeding permitted under these Terms shall be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to the personal jurisdiction of those courts.
H. Time Limitation on Claims
Any claim or cause of action arising out of or relating to these Terms or your use of the Site must be filed within one (1) year after such claim or cause of action arises, or be forever barred, except to the extent a longer period is required by applicable law.
11. Termination
Cuantico may terminate or suspend your access to the Site at any time, with or without notice, and with or without cause. You may stop using the Site at any time. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including without limitation provisions relating to intellectual property, indemnification, disclaimers of warranty, limitations of liability, and dispute resolution.
12. International Access
The Site is operated from the United States and is intended for users within the United States. Cuantico makes no representation that the Site is appropriate or available for use in other locations. If you access the Site from outside the United States, you do so at your own initiative and are responsible for compliance with applicable local laws.
13. General
A. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cuantico regarding your use of the Site and supersede all prior or contemporaneous communications, agreements, or understandings, whether oral or written. If you are a paying Client of Cuantico, your separately executed Master Services Agreement or Order Form governs the paid services provided to you and controls in the event of any conflict with these Terms.
B. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed, and the remaining provisions shall continue in full force and effect.
C. No Waiver
Cuantico's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
D. Assignment
You may not assign or transfer these Terms or any of your rights or obligations under these Terms without Cuantico's prior written consent. Cuantico may freely assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
E. No Agency
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Cuantico.
F. Force Majeure
Cuantico shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, labor disputes, power failures, governmental actions, failures of third-party services or infrastructure, or cyberattacks.
G. Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
